Annual shareholders meeting of Nextrom Holding AG
Approval of new name, i.e. Spirt Avert AG and focus on new activities

At their annual general meeting on 13 June 2006 in Lucerne/St. Niklausen, the shareholders of Nextrom Holding AG approved the change of name into Spirt Avert AG. Spirt Avert is derived from the Swiss Raeto-Romanic language and stands for “open mind�, it shall underpin the focus on new business activities. The restructured entity will act as an investment holding and is planning to invest into majority and minority participations, both strategically as well as long-term. The targets will include listed and non-listed companies.

The share capital authorized at the extraordinary shareholders meeting back in 3 October 2005 can be used for acquisitions. It is planned to finance the growth strategy within Swiss small caps by means of a capital increase. The following proposals of the board were approved:

1. Approval of the annual report, financial statements and financial report
2.1 Change of name from Nextrom Holding AG into Spirt Avert AG
2.2 Change of the term “preferred shares� into “registered shares�
3.1 Release of reserves
4. Discharge of all members of the board
5. Re-election of Messrs. Lorenzo R. Schmid, Dr. Thomas Stäheli, Daniel Buchter and election of Mr. Peter K. Bachmann, chartered accountant as new CFO
6. Re-election of KPMG Fides Peat as group auditors for 2006

As expected, the proposal to reduce the share capital was declined.
