Decisions of the Extraordinary Shareholders' Meeting

In its extraordinary Shareholders’ meeting of today, Nextom Holding SA informed that the restructuring plans communicated on 1st September 2005 cannot be completed in the planned time frame, due to a preliminary ex-parte court injunction, provoked by Maillefer SA.

Furthermore, unrelated to the reasons for the court injunction, Nextrom announced that it had received a Letter of Intent for an important turn-key project in the Middle-East. The Board informed in detail about this potential project. The total volume could reach US$ 120 million over a period of 3 years. This would include Nextrom machinery for an amount of US$ 50 to 70 million. Knill Beteiligungs GmbH confirmed its undertaking to compensate Nextrom Holding SA should this contract materialize.

The meeting approved the proposal of the Board of Directors concerning the reorganisation of the Nextrom Group, as outlined in the press release dated 1st September 2005. However, this approval is conditional upon the release from the court injunction mentioned above.

Following the change of the majority shareholder, Messrs. Lorenzo Schmid, Daniel Buchter, Georg Knill and Thomas Staeheli were elected as Members of the Board of Directors.

The Shareholders also agreed to move the domicile of the company to Pfaeffikon, SZ (Freienbach), and to amend the Articles of association accordingly.

Furthermore, the creation of authorized capital of 1’260’791 bearer shares in the amount of CHF 3’782’373 nominal value was approved.
